Terms & Conditions

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and AyuLink Health Technologies Pvt. Ltd. ("AyuLink", "we", "us", or "our"), governing your access to and use of the AyuLink digital health records platform (the "Platform"), including any associated mobile applications, websites, and services.

Please read these Terms carefully before using the Platform. By creating an account or using the Platform in any manner, you agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By accessing, registering on, or using the Platform, you confirm that:

• You are at least 18 years of age, or you have the consent of a parent or legal guardian.
• You have the legal capacity and authority to enter into these Terms.
• You have read, understood, and agree to be bound by these Terms and our Privacy Policy.
• If you are using the Platform on behalf of an organisation (e.g., a hospital or clinic), you represent and warrant that you have the authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must immediately stop using the Platform and delete your account.

2. User Roles and Accounts

The Platform supports the following user roles:

2.1 Patients

• Can create and manage their health profiles.
• Can store, view, and share medical records, prescriptions, and lab reports.
• Can grant or revoke access to healthcare providers.
• Can use emergency QR features for emergency data sharing.

2.2 Doctors

• Can view patient records when access is granted by the patient.
• Can add clinical notes, prescriptions, and diagnosis information.
• Are solely responsible for the accuracy, completeness, and appropriateness of clinical information they enter.
• Must maintain valid medical registration and adhere to applicable medical ethics codes.

2.3 Hospitals and Clinics

• Can manage institutional accounts and multiple doctor profiles.
• Can access patient records when authorised by the patient.
• Must ensure that all staff using the Platform comply with these Terms.

Each user is responsible for maintaining the confidentiality and security of their account credentials. You must notify us immediately if you suspect unauthorised access to your account.

3. Platform Usage Rules

You agree that you will not:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
• Upload, enter, or transmit any false, misleading, fraudulent, or fabricated data or information.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Attempt to gain unauthorised access to other users' accounts, data, or any part of the Platform's infrastructure.
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Platform.
• Use any automated means (bots, scrapers, crawlers) to access or collect data from the Platform without prior written consent.
• Transmit any malware, viruses, or other malicious code through the Platform.
• Use the Platform to harass, threaten, or abuse other users.
• Resell, sublicense, or commercially exploit the Platform or any part thereof without prior written consent.

5. Limitation of Liability

To the fullest extent permitted by applicable Indian law:

• The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
• AyuLink shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from or related to:
  • Any incorrect, inaccurate, or incomplete data entered by users.
  • Any medical decisions, diagnoses, or treatments based on data stored on the Platform.
  • Any adverse health outcomes resulting from reliance on the Platform.
  • Technical failures, downtime, or interruptions in the Platform's availability.
  • Unauthorised access to your data resulting from your failure to secure your credentials.
  • Any actions or omissions of third-party service providers.
• Our total aggregate liability for all claims arising out of or relating to these Terms or the Platform shall not exceed the amount paid by you to AyuLink in the twelve (12) months preceding the event giving rise to the claim, or INR 5,000 (Indian Rupees Five Thousand), whichever is lower.

6. Data Responsibility

• Users are solely responsible for the accuracy, completeness, and legality of all data they enter, upload, or transmit through the Platform.
• AyuLink does not independently verify the accuracy of any medical records, prescriptions, or health data uploaded by users.
• Healthcare providers using the Platform are responsible for ensuring that all clinical information they enter complies with applicable medical standards and regulations.
• You acknowledge that inaccurate data could lead to adverse outcomes and AyuLink bears no liability for such consequences.

7. Account Suspension and Termination

We reserve the right to suspend or terminate your access to the Platform, without prior notice, if:

• You violate any provision of these Terms.
• You engage in fraudulent, abusive, or illegal activity.
• You upload false or misleading data.
• You attempt to compromise the security or integrity of the Platform.
• Your actions pose a risk to other users or the Platform's reputation.
• Required by a lawful order of a competent authority.

Upon termination, your right to use the Platform ceases. Data deletion will be handled in accordance with our Privacy Policy and applicable legal retention requirements.

8. Payment and Subscription Terms

8.1 Subscription Plans

Certain features of the Platform may require a paid subscription. Details of available plans, pricing, and features are listed on our Pricing page.

8.2 Billing Cycle

• Subscriptions are billed on a recurring basis (monthly or annually) as selected at the time of purchase.
• Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.

8.3 Refund Policy

• Within 7 days of purchase: You may request a full refund if you have not substantially used the paid features. Determination of "substantial use" is at AyuLink's reasonable discretion.
• After 7 days: No refunds will be issued for the current billing period. You may cancel your subscription to prevent future charges.
• Refund requests must be submitted via email to billing@ayulink.health.

8.4 Cancellation

• You may cancel your subscription at any time through your account settings or by contacting our support team.
• Upon cancellation, you will continue to have access to paid features until the end of your current billing period.
• No prorated refunds are provided for partial billing periods.

8.5 Price Changes

We reserve the right to modify subscription pricing. You will be notified at least 30 days in advance. Continued use after the price change constitutes acceptance.

9. Intellectual Property

• All content, features, functionality, design, source code, algorithms, trademarks, logos, and service marks on the Platform are the exclusive property of AyuLink Health Technologies Pvt. Ltd. and are protected under applicable intellectual property laws of India.
• You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purposes, subject to these Terms.
• You may not copy, modify, distribute, sell, lease, or create derivative works based on the Platform or its content without prior written consent.
• Any feedback, suggestions, or ideas you submit to AyuLink may be used by us without obligation to compensate or credit you.

10. Indemnification

You agree to indemnify, defend, and hold harmless AyuLink, its directors, officers, employees, agents, and affiliates from and against all claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of the Platform.
• Your violation of these Terms.
• Any data you enter, upload, or transmit through the Platform.
• Your violation of any applicable law or the rights of any third party.

11. Governing Law and Jurisdiction

• These Terms are governed by and construed in accordance with the laws of the Republic of India.
• Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

12. Dispute Resolution

Before initiating any legal proceedings, the parties agree to attempt to resolve any dispute through good-faith negotiation for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, conducted in Bengaluru, Karnataka. The arbitration shall be conducted in English by a sole arbitrator mutually appointed by both parties.

13. Force Majeure

AyuLink shall not be liable for any delay or failure to perform its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, cyber-attacks, power failures, internet outages, or acts of terrorism.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published on the Platform, constitute the entire agreement between you and AyuLink regarding the use of the Platform and supersede all prior agreements, representations, and understandings.

16. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated through the Platform or via email at least 15 days prior to taking effect. Your continued use of the Platform after the effective date constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Platform and close your account.
